Selma Pınar Ülker, LLM Professional Experience: Selma Pınar Ülker focuses on corporate law, commercial law, project financing, mergers and acquisitions, capital markets law, competition law, litigation, debt enforcement and bankruptcy law. Selma Pınar Ülker has been actively involved in the privatization of ports, power plants and electricity distribution networks, has conducted due diligences for companies in relation to (public & private) tenders and has provided legal services in each stage of the tender process. In connection with these projects she has represented awarded companies in their project finance and represented such companies for disbursement of credit facilities from financial institutions (including Banks, International Finance Corporation) and she has participated in the negotiation of credit facility agreements, share pledge agreements, security agreements, has prepared cp documentation of the credit facility agreements, has drafted several legal opinions, and has prepared other supplemental documents in relation with the finalization of the project documents. Selma Pınar Ülker has also advised companies and organizations with respect to corporate and commercial matters as well as providing legal services in their day-to-day business. In relation to Mergers & Acquisitions, she has taken part in due diligences, reviewed and negotiated share purchase agreements, shareholders agreements and has followed up the process in relation to the finalization of these transactions. Selma Pınar Ülker has also been specialized in the field of competition law with an emphasis on its implications over Mergers and Acquisitions. Selma Pınar Ülker also advises foreign investment securities companies with respect to their daily business operations including filing of the required applications and disclosures to the Capital Markets Board.
